LIMITED WARRANTY

Par Aide Products Co. (the “Seller”) makes the following warranty to the original purchaser (the “Buyer”) of the goods purchased by Buyer from Seller as set forth below for the warranty period set forth below (the “Warranty Period”):

Par Aide Limited Warranty.

All Par Aide Goods (“Par Aide Products”) will be free from defects in material and workmanship for a Warranty Period of one (1) year from the date of shipment.

Seller reserves the right to refinish, replace, or repair any damaged or defective Par Aide Product at its sole discretion. If a Par Aide Product is found to be defective and covered by this Limited Warranty, Seller will (at Seller’s option) (a) repair or replace any Par Aide Product (or any defective parts thereto) which prove to be defective within the Warranty Period; or (b) issue a credit or refund of the original purchase price with respect to the defective Par Aide Product purchased by Buyer if, upon request of Seller, Buyer returns such defective Par Aide Product to Seller at Buyer’s expense.

Buyer must obtain a return goods authorization from Seller prior to returning any Par Aide Product to Seller under this Limited Warranty.  Buyer will not be charged for shipping and handling from Seller for a repaired or replaced Par Aide Product.  However, if the Par Aide Product is returned to Seller without return goods authorization, found to not be defective, or otherwise not covered by this Limited Warranty, the Par Aide Product can, at Buyer’s option, be returned to Buyer at Buyer’s sole shipping and handling cost or ‎disposed of by Seller without compensation to Buyer, provided if Buyer does not respond within ‎thirty (30) days to any request by Seller regarding Buyer’s instructions as to the disposition of the ‎Par Aide Product, Seller may dispose of the Par Aide Product without compensation to Buyer.  Seller will not be liable for any loss or damage incurred during any shipping and handling.

Additional Limited Warranty Exclusions.

This Limited Warranty does not apply to any Par Aide Products which have been improperly installed, stored, maintained, or removed; neglected; altered; abused; vandalized; used for a purpose other than the one for which they were manufactured; repaired by Buyer or any other person without Seller’s written authorization; used in any manner inconsistent with Seller’s oral or written instructions; or “as is” products, or products not purchased directly from Seller or an authorized reseller or distributor. This Limited Warranty does not apply to any damage that may result to any other real property, product, building façade, or other item as a result of the installation, use, or removal of any Par Aide Products, and in no event will Seller be responsible for any costs or expenses for installation, removal, or re-installation of any Par Aide Products or for repair or replacement to any other real property, product, building façade, or other item.

This Limited Warranty shall not be enlarged, or in any other way affected by, and no obligation or liability shall arise or grow out of, Seller’s rendering of technical advice or service in connection with Buyer’s order of the Par Aide Products. No representative of Seller or other person handling the Par Aide Products is authorized to modify this Limited Warranty.

Third Party Product.

Products manufactured by a third party (“Third Party Product”) may constitute, contain, be contained in, incorporated into, attached to or packaged together with, the Par Aide Products. Third Party Products are not covered by this Limited Warranty, except that Seller assigns to Buyer any warranties made by such third parties to Seller regarding such Third Party Product. For the avoidance of doubt, SELLER MAKES NO OTHER REPRESENTATIONS OR WARRANTIES WITH RESPECT TO ANY THIRD PARTY PRODUCT, INCLUDING ANY (a) WARRANTY OF MERCHANTABILITY; (b) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (c) WARRANTY OF TITLE; OR (d) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY, WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE.

DISCLAIMER; LIMITATION OF REMEDY.

EXCEPT AS EXPRESSLY PROVIDED IN THIS LIMITED WARRANTY, SELLER MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO THE PAR AIDE PRODUCTS, INCLUDING ANY (a) WARRANTY OF MERCHANTABILITY; OR (b) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE (INCLUDING REGARDING THE STRENGTH, PERFORMANCE, ENDURANCE OR IMPACT RESISTANT CHARACTERISTICS OF THE PAR AIDE PRODUCTS), WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE.

IN NO EVENT SHALL SELLER BE LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY LOSS OF USE, REVENUE OR PROFIT, OR FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT SELLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL SELLER’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE GENERAL TERMS AND CONDITIONS OF SALE, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE TOTAL OF THE AMOUNTS PAID TO SELLER FOR THE PAR AIDE PRODUCTS SOLD HEREUNDER.

Seller shall not be liable for a breach of the Limited Warranty unless: (a) Buyer gives written notice of the alleged defect, reasonably described, to Seller within ten (10) days of the time when Buyer discovers or ought to have discovered the defect; (b) Seller is given a reasonable opportunity after receiving the notice to examine such Par Aide Products and Buyer (if requested to do so by Seller) returns such Par Aide Products to Seller's place of business at Buyer's expense; and (c) Seller reasonably verifies Buyer's claim that the Par Aide Products are defective and covered by this Limited Warranty. 

Consumers.

If Buyer is an individual consumer, and the Par Aide Products are purchased for household or family use, then the following apply: (a) ANY IMPLIED WARRANTIES WHICH YOU MAY HAVE UNDER APPLICABLE LAW ARE LIMITED IN ‎DURATION TO ONE (1) YEAR FROM THE DATE OF SHIPMENT; (b) some states do not allow limitations on how long an implied ‎warranty lasts, so the above limitation may not apply to you; (c) some states do not allow for the exclusion or limitation of incidental or consequential damages, so the ‎above limitation or exclusion may not apply to you; (d) this warranty gives you specific legal rights, and you may also have ‎other rights which vary from state to state; and (e) the remedies provided under this Limited Warranty are Buyer’s sole and exclusive remedies for any breach of warranty.
